Remedly is a premier concierge health and wellness service committed to high standards of care, professionalism, and patient respect. These Terms & Conditions ("Terms") govern the engagement of suppliers such as locum agencies ("Agency") by Remedly ("Client"). By providing adhoc locum services to Remedly, the Agency agrees to be bound by these Terms:

  1. Definitions
    1.1. "Temporary Resource" or "Temporary Resources" means any individual supplied by the Agency to provide locum services to Remedly.
    1.2. "Engagement" means any individual assignment, placement, or contract between the Temporary Resource and Remedly, arranged through the Agency

    1.3. “Patient” or “Patients” means service users of Remedly’s platform who are the direct or indirect end recipient of the services provided.

  1. Service Standards
    2.1. Temporary Resources must be punctual, courteous, and professional at all times.
    2.2. They must treat all patients kindly and respectfully.
    2.3. Attire shall be clean, smart, and professional, consisting of plain (no visible logo) black, blue, or white clothing appropriate to the clinical setting.
    2.4. Remedly does not operate traditional clinics and serves patients predominantly virtually or at patient locations such as homes, offices, hotels, residential homes, filming sets, or similar.
    2.5. Occasionally satellite clinics or office locations may be used, and back-to-back sessions at the same location may be required; these will be discussed with the Agency and Temporary Resources.
    2.6. Remedly’s service hours are from 6am to 11pm, Monday through Sunday. Should sessions be required outside these hours, both Agency and Temporary Resource will be informed in advance.

  1. Fee Structure and Payment
    3.1. Remedly shall pay the Agency only based on agreed commission rates per hour or session, as confirmed in writing before each Engagement.
    3.2. No introductory or upfront fees shall be payable for the introduction or supply of Temporary Resources.
    3.3. Transfer fees for permanent or third-party direct Engagements shall be capped at 10% of the Temporary Resource’s annual remuneration or £5,000 max.
    3.4. No Transfer Fee will apply if the Temporary Resource has been engaged for a cumulative total of 12 weeks within any 12-month period or paid £5,000 or more by Remedly during that time, regardless of hours worked.
    3.5. Invoices must be submitted within 6 months of services rendered; invoices received after this period will not be accepted or paid.
    3.6. Remedly will honour non disputed invoices by making full payment no later than 30 days from the date of a valid invoice.

    3.7. Remedly operates strictly on a commission model based solely on work completed. There are no advertising fees, hidden charges, or any other fees payable by the Agency beyond the agreed commission on completed services.

  1. Employment Status and Tax Compliance
    4.1. Temporary Resources are not employees or workers of Remedly.
    4.2. The Agency must ensure that each Temporary Resource either operates through a limited company or is genuinely self-employed, and meets all relevant tax obligations, including payment of National Insurance contributions and income tax.
    4.3. Remedly takes no responsibility for deducting or paying PAYE, National Insurance, or any taxes related to Temporary Resources. This is solely the Agency’s and Temporary Resource’s obligation.

  1. Agency and Resource Obligations
    5.1. The Agency guarantees all Temporary Resources are qualified, registered, insured, and compliant with all legal, professional, and regulatory requirements prior to introduction.
    5.2. Upon request, the Agency must provide evidence of but not limited to: qualifications, up to date CV (with clear country locations of experience and no breaks in dates without explanations), enhanced DBS, HCPC and CSP certificates (must include Public Liability Insurance & Medical Malpractice insurance - both not less than £5m individually), 2 x references, proof of photo ID, 2 x proof of address, right to work in the UK, immunisations (TB, MMR, Varicella, Hep B and Chicken pox) + any self declarations, relevant mandatory training such as manual handling, infection control, BLS, Fire Safety and safeguarding.
    5.3. Upon engagement, all Temporary Resources will also be required to sign an agreement with Remedly, which outlines all T&Cs - to avoid confusion about what is required of them. Locum agency may request this before assignment of the Temporary Resource begins.
    5.4. When seeing patients, all Temporary Resources must supply their own necessary equipment, including but not limited to massage tables, oils, and any treatment-specific materials.
    5.5. Temporary Resources must treat Remedly as the data controller and use only Remedly’s platform for clinical notes or communication with patients. Notes must be sent to Remedly within 24 hours and deleted immediately from the Temporary Resource’s own records.
    5.6. Temporary Resources are not to use their own personal phone or email to contact or engage patients under any circumstances. Personal details must not be exchanged with Remedly’s patients.
    5.7. Temporary Resources must only discuss clinical business with patients using Remedly’s own platform. All other enquiries must be sign posted to the office (Email: hello@remedly.co.uk or T@ 0330 133 5996) for discussion.

    5.8. Any Replacement Temporary Resource accepted to fulfil an Engagement must be fully known to the agency and compliant with all Remedly requirements, already onboarded by Remedly, and possess a level of expertise and experience similar to the original Temporary Resource.

  1. Rates and Assignments
    6.1. Different rates will apply for virtual sessions, home visits, and back-to-back sessions exceeding 2 hours without travel. Such rates will be agreed on a case-by-case basis in writing.

    6.2. For clarity, any engagement longer than 2 hours in a single location, without traveling by car, taxi or public transport, will count as a “back to back” session. For example, this could be seeing multiple patients at the same office location or elderly patients who are neighbours or live at the same residential or care home. This will also apply to family or friends who want to be seen together at the same home.

    6.3 Any engagements up to 2 hours (120 minutes) will be paid for as 2 single home visits, but any lasting over 2 hours will be paid for as 2 back to back sessions.

    6.4. Engagements are strictly ad-hoc, whether as single or back to back. Neither the Temporary Resource nor Remedly is obliged to accept or provide any minimum number of sessions.

    6.5. Remedly prefers continuity of care by assigning the same Temporary Resource to the same client where possible but may assign multiple staff or assistants to the same client.

  1. Introduction and Confidentiality of CVs
    7.1. An “Introduction” is defined as any interview or meeting facilitated between Remedly and a Temporary Resource.
    7.2. Merely sending or downloading a CV does not constitute an Introduction.
    7.3. CVs must be anonymised, showing only first names or unique ID numbers with no personal identifying details, until formal Introduction.

  1. Solicitation and Repercussions
    8.1. Neither the Agency nor Temporary Resources shall directly solicit or approach Remedly’s clients, patients, or referral sources during the Assignment or for 12 months after.
    8.2. Breach of this clause will result in Remedly charging the Agency the full estimated loss, any damages, plus administrative fees and legal costs.
    8.3. The same fees in clause 8.2 will additionally be charged to the Temporary Resource, who accepts personal liability for such fees should their own company be unable to pay.

  1. Data Protection, Communications, Bookings and Clinical Notes
    9.1. Temporary Resources and Agencies must strictly adhere to use of Remedly’s approved platform for all bookings, communications, clinical notes and records.
    9.2. Notes must be fully transmitted to Remedly within 24 hours and deleted immediately from any personal or local records.
    9.3. Temporary Resources must under no circumstances book appointments outside of the platform, for Remedly patients or any potential patients encountered in the course of duty, through Remedly’s network, or as part of the patient’s own network.
    9.4. Breach or suspected breach of these data handling requirements constitutes a material breach of contract.
    9.5. Remedly reserves the right to terminate the contract and/or immediately remove the Temporary Resource and/or Agency from its platform without notice for any violation.
    9.6. The Agency and/or Temporary Resource shall be liable for any direct or indirect losses, penalties, or damages (including regulatory fines) sustained by Remedly as a result of unauthorised data handling or breach.
    9.7. Remedly may pursue all legal and contractual remedies including claims for costs, damages, and injunctive relief.

  1. Termination and Rights
    10.1. Remedly reserves the right to terminate this contract or remove the Agency and/or Temporary Resource from its platform immediately, without explanation, if unprofessionalism, suspected foul play, or breaches of these Terms occur.
    10.2. All Temporary Resources must keep thorough, accurate clinical notes, meet deadlines, and update their availability at least 8 weeks in advance initially, then every 4 weeks (to ensure we are always 8 weeks ahead).

  1. Breach of Terms and Repercussions
    11.1. Any material breach or repeated breaches by the Agency or Temporary Resource of these Terms shall entitle Remedly to:

  • Immediately suspend or terminate the contract without prior notice;

  • Remove the Temporary Resource and/or Agency from the Remedly platform indefinitely;

  • Seek damages or costs including but not limited to administrative, legal, and any loss incurred as a result of the breach;

  • Pursue any other legal or equitable remedies available.

    11.2. Material breaches include but are not limited to non-compliance with professional standards, failure to maintain required insurance or registrations, breaches of confidentiality or data protection obligations, unlawful solicitation, failure to deliver accurate timesheets, and failure to comply with payment or invoicing terms.

    11.3. Remedly reserves the right to act without prior warning if the breach poses a risk to patient safety, reputation, or legal compliance.

  1. Changes to Terms
    12.1. Remedly may revise these Terms at any time without prior notice. Agencies are responsible for regularly reviewing the Terms on Remedly’s website.
    12.2. No verbal or unsigned agreements, addendums, or variations are valid unless signed and dated by authorised directors of both Remedly and the Agency.

  1. Temporary Resource Buyout and Transfer Fees
    13.1. Should a Temporary Resource wish to work directly with Remedly, bypassing the Agency, they may pay the applicable Transfer Fee themselves to buy out the Agency’s right to a commission or fee.
    13.2. Such buyout payments must cover the full amount of any Transfer Fee owed under these Terms.
    13.3. The Temporary Resource acknowledges that any direct Engagement with Remedly without such payment constitutes a breach of contract and may lead to legal action.
    13.4. Remedly shall have no liability for unpaid fees if the Temporary Resource attempts to bypass the Agency without fulfilling these obligations.

  1. Platform Listings and Third-Party Engagements
    14.1. Temporary Resources accepted by Remedly may be listed on Remedly’s website, app, or platform to facilitate bookings directly by patients.
    14.2. Remedly acts solely as a facilitator and does not control third-party interactions or solicitations arising from platform exposure.
    14.3. The Agency agrees and acknowledges that Remedly shall not be held responsible or liable for any third-party solicitations or engagements resulting from such listings.
    14.4. Should the Agency allege that Remedly has introduced a Temporary Resource to a third party, the Agency must provide clear and verifiable evidence of such introduction.
    14.5. Remedly reserves the right to implement profiles, including photographs and professional details, on its platform as part of service development.

  1. Definitions of Third-Party Engagement
    15.1. "Third-Party Engagement" means any direct or indirect engagement, hire, or contract of a Temporary Resource by any party other than Remedly or the Agency, including but not limited to patients, clinics, companies, or referral sources outside Remedly’s direct control.
    15.2. Remedly disclaims responsibility for any contractual or financial consequences arising from Third-Party Engagements unless expressly agreed in writing between Remedly and the Agency.

  1. Travel and Expenses
    16.1. Remedly does not pay for travel time or travel expenses incurred by Temporary Resources unless expressly agreed in writing prior to an assignment.

  1. Availability and Scheduling
    17.1. Temporary Resources shall set and maintain their availability on Remedly’s platform initially for a minimum of 2 months in advance and thereafter update availability at least once every 4 weeks to ensure a rolling 2-month forecast.
    17.2. Temporary Resources may adjust availability for future periods but slots offered with no patient bookings may be changed month-to-month.
    17.3. No Temporary Resource is obligated to accept any assignment, but once an assignment is accepted, cancellation is strictly prohibited except as outlined below.

  1. Cancellation Policy
    18.1. Temporary Resources must only accept assignments that they will not cancel. However, in extenuating circumstances, they may cancel accepted assignments only if 72 or more hours notice is given before the scheduled appointment.
    18.2. Two cancellations of booked appointments by a Temporary Resource within any 6-month period (whether inside or outside 72 hours) will result in immediate removal from Remedly’s platform.
    18.3. Cancellation within 72 hours before the appointment results in immediate removal from the platform upon a single occurrence.

    18.4. In the event a Temporary Resource cancels an accepted assignment, it is the Agency’s responsibility to provide a suitable Replacement Temporary Resource who complies fully with Remedly’s requirements and meets the expected expertise and experience.
    18.5. If a patient cancels with less than 24 hours' notice to the time of the booked appointment, the Temporary Resource shall receive 50% of the agreed fee, even though they do not have to attend.
    18.6. Should the Temporary Resource attend a scheduled appointment but the patient cancels on arrival or access is denied, the Temporary Resource shall receive full payment for the session.
    18.7. Any time worked beyond the originally booked appointment duration without prior written consent from Remedly’s office by email will only be paid up to the original booked time. This includes extensions requested by the patient during the session without prior approval. All extensions must be agreed in writing.

  2. Amendments
    19.1. Where the Agency has their own terms and conditions, this agreement will prevail in its place. No amendments shall apply to these terms except in writing and when signed and dated by the directors of both the Agency and Remedly.

  3. Governing Law
    20.1. These Terms are governed by the laws of England and Wales.
